I actually think it'd be an interesting marriage of convenience, though not really rooting for them to be together. I think a pact raising Parker/Holly and being friends would be best.

Chapter 499e
“But a lot of people do fall in love more than once in a lifetime,” Philip reminded Nicole.
She waved his comment off. “I’m well over my quota. The most important thing,” Nicole reasoned, “is to give our kids a sense of stability, and knowing they have two loving parents, something I never had. I love Parker and you love Holly. What could be more perfect?”
“If we loved each other,” Philip mumbled.
“But since we don’t, this is the next best thing. And Philip, to answer your question, if you want to have an affair with somebody else sometime along the way, I’d be totally cool with it.”
“Really?”
“Sure. Just don’t flaunt it and don’t end up in Lady Whistleblower’s gossip column.”
“And if you wanted to have an affair?” he asked.
“Same thing. Works both ways.” She smiled seductively and walked her fingers up his arm. “And since you’re easy on the eyes, if we wanted to get together for a conjugal visit now and then, I’m completely open to it. It’s the best of all worlds.”
“Well, when you put it that way,” he added sarcastically.
“So is that a yes.”
He grimaced. “I don’t know, Nicole.”
She rested her elbow on his shoulder and leaned her chin on her arm near his ear. “What’s the hesitation? Look, we wouldn’t have to have a long engagement or even a short one. No big announcement, no big wedding. Just pick a day and we’ll go to the courthouse.”
“If you’re looking for financial security…”
She leaned away and pushed on his arm. “Well of course I am. But that’s not why I chose you.”
“You sure?”
“Absolutely. You and me are the best option because of the kids and because we’re not starry eyed and we’re not naive.”
“So, you’re saying this is a marriage of convenience,” Philip stated.
“Well, it’s a little more than that.”

My first thought was NO don't do it Philip. But then I started thinking about. It kinda does make sense, they both know going into this that it is more like a friends with benefits kinda marriage. They know they don't love each other, it would be convenient ~ they are free to have 'affairs' if either one decides to. It might give Chloe the kick in the pants she needs.... her best friend married to the love of HER life. Of course it could also have the opposite effect and send her spiraling down faster than ever. So back to my first thought.... NO ~ do not do this Philip.

I definitely think that this would be the kick in the pants to Chloe...maybe she needs this.
Also, if Philip does agree, he needs to have Justin fire up a prenup stat.

Don't do it Philip!
I don't care how much "stability" Nicole thinks a 2 parent household is, it's just as damaging to grow up in a household where your parents don't love each other and one (or both) are always entertaining the next "aunt" or "uncle". That's not teaching your child to value their self worth and to settle for whatever comes along. Stability comes in many forms and Philip was right that there are plenty of father figures around. All that matters is that Holly is taken care of and loved.

Chapter 499f
“So, you’re saying this is a marriage of convenience,” Philip stated.
“Well, it’s a little more than that because of the kids.” Nicole choked back tears and explained, “When you came into my room to help with my baby the other night, it was the first time I haven’t felt alone since Daniel died. I felt like I had a partner.” She swallowed her tears. “Think of Parker, Philip. He’d love being part of a family again. I’ve loved him since he was a baby, probably because of my friendship with Chloe and because Daniel loved him so much. So he’s already in my heart. Take the deal, Philip. It’s a good one. At least say you’ll think about it.”
“I’ll think about it,” Philip repeated robotically.
“Yay.” She gave him a side hug and kissed his hair before jumping off the sofa. “I’m gonna turn in. See you tomorrow.”
He gave her a slight wave, picked up his glass and leaned back on the sofa. Swirling the nearly melted ice in his scotch, he pondered. Was Nicole right?
A long time ago, soon after Chloe moved into the Chicago condo, but before they were a couple, Chloe asked him what he wanted.
Chloe: I have everything I want. I have my son. Philip: Is that enough for you? Chloe: It’s everything to me. What are you getting at? Philip: I don’t know. Don’t you ever ... want more? Chloe: Like what? Philip: Like ... love, marriage ... the whole picture. Chloe: Oh that. No, I gave up on thinking there’s such a thing as having it all. Philip: Really? Chloe: Really. I’m 28 years old, I’ve been married three times, and they all ended in disaster. Philip: So ... what are you saying? You’ll never love again? Chloe: Oh, I don’t know. Maybe. But if I don’t, that’s okay too. Philip: You mean you’d be okay if you never had love in your life again? Chloe: Oh Jerry, don’t let’s ask for the moon. We have the stars. Philip: What??? Who’s Jerry? Chloe: Sorry. It’s the closing line from "Now Voyager," the Bette Davis tearjerker. Philip: Uh-huh. Chloe: Don’t make fun of me. It’s a classic. It’s about this couple that used to be in love and now they’re raising a child together, and she’s happy with the status quo, but he wants a romantic relationship with her. Philip [sarcastically]: Wow, that’s really far-fetched. Chloe looked at Philip and laughed. Chloe: Why? What do you want? Philip thought for a minute before answering. Philip: The moon. I want the moon.
“The moon,” he’d told her. He wanted it all. Love. Marriage. Kids. And he had it. With Chloe. Once. Could he settle for anything less now? Or was Nicole’s notion that ‘life is simpler when you’re not in love’ the right philosophy? She was proposing a no-strings marriage. Friends with benefits but with a marriage license. She’d have financial security and a family for her daughter. And he’d have…what?
In all the years he’d known her, he never considered a relationship with Nicole. He first met her when she was in a relationship with his father. Hell, she married his father. And his brother. If he was honest with himself, he’d admit he didn’t always even like Nicole. She was tough to take sometimes. But she was right that he loved her daughter. It was hard not to. And she was right that Parker could benefit from a mother figure.
He wasn’t deluding himself with the possibility that Chloe might come back. Most days, he didn’t even want her to anymore. But Nicole was suggesting he give up on love and that was a bitter pill to swallow. He’d been searching for his “forever love” since he was a teen. He thought he found it more than once and clearly he’d been wrong. Love had done nothing but disappoint him and lead him astray, time and time again. So maybe Nicole had the exact right idea about settling for the next best thing.

NO NO NO. Always hold out for love. You & Nicole can be there for each other AND THE KIDS without getting married. If it was anybody else but Philip, they could probably pull it off. Philip has a tendency to to 'fall in love' with whatever woman he is with. HOWEVER the only person he has ever LOVED is Chloe and has since High School. You don't get over that EVER. Yes you might find another type of love but it will never be the end all that the love you have for your true partner is. Philip & Nicole have way too much history (some good / some bad) to ever try and pull off this type of relationship. He would end up hating her and that wouldn't be good for Holly or Parker. They need to remain friends and do what they can to help their kids have a love filled life.
Chloe needs to get get her crap together RIGHT NOW and realize that she & Philip belong together BEFORE Philip makes the biggest mistake of his life!

Not the way I was expecting this but honestly maybe this needs to happen for Chloe to wake up and fight for her man Or maybe this is how soaps just throw a loop hole and move in an entirely different direction Wouldn’t be my first choice personally cuz I think Philip could do much better than Nicole

No, Phillip, don't do it. Think about how your father and brother faired in a relationship with Nicole. And, they had feelings for her.
